Welcome to Signal SEO LLC (“Signal SEO,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your subscription to and use of our SEO services. By subscribing to our services, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be bound by these Terms

1. Services Overview

Signal SEO provides subscription-based SEO service plans designed to improve your business’s online visibility and engagement performance. Our proprietary Real-Device Network operates thousands of authentic devices across major cities, simulating genuine user search and engagement behavior to enhance your Google Business Profile visibility and local rankings.

All services are performed on a best-effort basis using proprietary tools, networks, and strategies. Signal SEO does not guarantee specific placement, ranking duration, or traffic volume, as these outcomes depend on search engine algorithms and other external factors beyond our control.

2. Subscription Terms

Auto-Renewal:
All Signal SEO plans operate on a 30-day recurring billing cycle and automatically renew unless canceled in writing according to Section 3 below.

Billing Authorization:
By subscribing, you authorize Signal SEO to automatically charge your designated payment method for recurring billing until cancellation. You agree to maintain a valid payment method at all times.

Failure to Pay:
If payment fails, services may be paused or terminated immediately without notice. Signal SEO reserves the right to recover unpaid amounts through collection efforts, which may include administrative and legal fees.

3. Cancellation Policy

To cancel your subscription, you must provide written notice to contact@signalseo.ai at least 30 days prior to your next renewal date.

  • Cancellations made after this period will apply to the following billing cycle.

  • Signal SEO does not accept cancellations via text message, phone call, or social media.

  • No pro-rated refunds will be issued for early termination.

4. Refund Policy

No Refunds:
All payments are non-refundable, including for partially used billing periods or after service commencement.

Chargebacks Prohibited:
You agree not to initiate chargebacks or payment disputes. Unauthorized chargebacks will be treated as a breach of contract, and Signal SEO reserves the right to pursue recovery through legal means, including collection fees, interest, and attorney costs.

5. Client Responsibilities

You agree to:

  • Provide accurate, current, and complete business information when requested.

  • Maintain access to your Google Business Profile, website, and analytics as needed for service performance.

  • Avoid engaging in any practices that could negatively affect SEO results, such as spam listings, fake reviews, or duplicate business profiles.

Failure to comply may delay or diminish results and does not entitle you to any refund or service credit.

6. Intellectual Property and Confidentiality

All materials, software, heatmaps, performance reports, network data, scripts, or other deliverables created by Signal SEO remain the exclusive property of Signal SEO LLC, unless explicitly transferred in writing.

Clients are granted a limited, non-transferable, revocable license to use deliverables solely for internal business purposes.

You agree not to disclose, reverse engineer, copy, or replicate Signal SEO’s proprietary technology, device network, or engagement methodology.

7. Limitation of Liability

Signal SEO shall not be liable for:

  • Any indirect, incidental, or consequential damages, including lost profits or loss of data.

  • Any ranking changes, penalties, or algorithm updates by search engines.

  • Issues caused by third-party services (e.g., Google, hosting providers, competitors, or network disruptions).

In no event shall Signal SEO’s total liability exceed the total amount paid by you during the 90 days preceding the event giving rise to the claim.

8. Performance Disclaimer

Search engine rankings and engagement metrics fluctuate regularly. While Signal SEO employs proven, proprietary strategies and technologies, results depend on factors beyond our control, including algorithm updates, competitor actions, and market conditions.

No representation, warranty, or guarantee is made regarding:

  • Specific keyword rankings

  • Traffic increases

  • Lead or revenue generation

All services are provided “as is” and “as available.”

9. Indemnification

You agree to indemnify, defend, and hold harmless Signal SEO LLC, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including attorney’s fees) arising from:

  • Your breach of these Terms

  • Your misuse of our services

  • Your violation of applicable laws or third-party rights

10. Confidentiality and Non-Disparagement

Both parties agree to keep all non-public business, marketing, or technical information confidential.
You further agree not to publicly disparage Signal SEO LLC, its staff, or its services in any written, oral, or digital medium. Breach of this section may result in termination and legal remedy.

11. Dispute Resolution and Governing Law

This Agreement shall be governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively through binding arbitration in Salt Lake County, Utah, administered by the American Arbitration Association (AAA). You waive any right to participate in class actions or jury trials.

12. Modification of Terms

Signal SEO may modify these Terms at any time. Updates will be communicated by email at least 14 days before taking effect. Continued use of services constitutes acceptance of the revised Terms.
